01 / Audit & Assurance

Annual audits your licensing authority, bank and the FTA will accept

Independent audits of financial statements prepared under IFRS or IFRS for SMEs, for mainland and free zone companies across the UAE.

Who it’s for

UAE companies that need signed audited accounts every year, whether for licence renewal, Corporate Tax, a bank facility or their shareholders.

You probably need this if

  • Your free zone licence renewal is coming up and the authority wants audited financial statements
  • You’re a mainland LLC and your shareholders or MOA require an annual audit
  • Your revenue is above AED 50 million, or you want to be treated as a Qualifying Free Zone Person for Corporate Tax
  • Your bank has asked for audited accounts before renewing or increasing a facility
  • An investor or buyer is doing due diligence on your company

What you get

  • 01A signed independent auditor’s report under International Standards on Auditing
  • 02A full set of IFRS (or IFRS for SMEs) financial statements: financial position, profit or loss, changes in equity, cash flows and notes
  • 03A management letter listing any control weaknesses we found, with practical recommendations
  • 04Help answering follow-up queries from your free zone, bank or the FTA

How it works

  1. 1

    Scoping call and fixed quote

We look at your trial balance and activity, then send an engagement letter with the fee agreed upfront.

  2. 2

    Document request

You get one clear checklist, not a stream of emails.

  3. 3

    Fieldwork

We test balances, transactions and controls, on-site or remotely.

  4. 4

    Draft review

We walk you through the draft statements and any adjustments before anything is signed.

  5. 5

    Signed report

Final audited accounts are issued in PDF and hard copy as required.

Typical turnaround: 1 week from receiving complete records. If you have a licence deadline, tell us at the start and we’ll plan around it.
  • Trial balance and general ledger for the year
  • Bank statements and bank confirmations authority
  • Prior-year audited financial statements (if any)
  • Trade licence, MOA/AOA and shareholder details
  • Fixed asset register, inventory count sheets, and debtor and creditor ageing
  • VAT and Corporate Tax registration details and returns filed

Fees

Fees depend on turnover, number of transactions, number of entities and how complete your records are. You’ll get a fixed fee in writing before we start, with no hourly billing surprises.

FAQs

Yes, but the books need to be closed first. We can arrange accounting support to bring them up to date, kept separate from the audit team to protect independence.

For many smaller UAE companies, yes. Larger entities and those with public accountability need full IFRS. We’ll confirm which applies during scoping.

ANPC Auditors is registered with the UAE Ministry of Economy. Our report is accepted by the Majority of the free zone in the UAE.

Audited financial statements are mandatory if your revenue exceeds AED 50 million or if you’re a Qualifying Free Zone Person. Others may still need them for licensing or banking.

Send us your trial balance and we’ll reply with a fixed audit quote within 24 hours.

Find the control gaps before they cost you money

Risk-based internal audit programmes that identify weaknesses, improve controls and strengthen governance.

Who it’s for

Growing businesses where the owner can no longer check every payment personally, groups with several branches or entities, and boards that want an independent view of how the business actually runs.

You probably need this if

  • You’ve grown fast and approval processes haven’t kept up
  • Stock counts never quite match the system
  • One person handles both supplier set-up and payments
  • You suspect revenue leakage, discount abuse or unrecorded cash sales
  • Your board, investors or a parent company has asked for an internal audit function
  • You’re preparing for a sale, an investment or an IPO and need your controls in order

What you get

  • 01A risk assessment showing where your biggest exposures are, ranked by impact
  • 02An internal audit plan focused on those areas, not a generic checklist
  • 03Audit reports for each area reviewed, rating every finding by risk and pairing it with an agreed action and owner
  • 04Follow-up reviews to confirm the fixes were actually implemented
  • 05Board or audit committee reporting, if you need it

How it works

  1. 1

    Risk workshop

We meet management to understand the business and agree where the real risks sit.

  2. 2

    Audit plan

A one-off review or an annual programme, covering areas such as procurement, payroll, cash, inventory, revenue and IT access.

  3. 3

    Testing

We walk through each process, test samples and interview the people who run it.

  4. 4

    Findings discussion

Every issue is discussed with the process owner before the report is final.

  5. 5

    Report and follow-up

You get a clear report, and we come back to check progress.

We work to the Institute of Internal Auditors’ Global Internal Audit Standards. We can act as your full outsourced internal audit function or support an in-house team.
  • Organisation chart and authority matrix (who approves what)
  • Policies and procedures, even informal ones
  • Access to your accounting and ERP system reports
  • Time with the people who run each process

Fees

Priced per review area or as an annual retainer, depending on scope and the number of locations.

FAQs

The statutory audit checks whether your year-end numbers are fairly stated. Internal audit checks whether the processes behind those numbers work, all year round.

Independence rules generally limit this. If we’re your statutory auditor, we’ll tell you what we can and can’t do, and suggest alternatives where needed.

Not necessarily. A single review of your purchase-to-payment cycle is often the most useful place to start.

Book a one-hour risk conversation. We’ll tell you where we’d look first, with no obligation.

Or email info@anpcauditors.com.

01 / Audit & Assurance

Audit assurance on exactly what someone has asked you to prove

Targeted audit and certification engagements tailored to specific stakeholder or regulatory requirements.

Who it’s for

Companies asked by a regulator, landlord, franchisor, funder or tender authority for audited or certified figures on something narrower than the full annual accounts.

You probably need this if

  • A developer needs its project or escrow account audited
  • A franchisor or mall landlord wants audited sales figures to calculate royalties or turnover rent
  • A tender requires certified turnover, net worth or experience figures
  • A grant or funding body wants assurance on how funds were spent
  • A parent company needs a reporting package audited under its group instructions
  • A contract requires financial information prepared on a specific basis

What you get

  • 01An audit or certification report covering the specific statement, account or figures in scope
  • 02A report prepared under ISA 800 or ISA 805 (or the relevant standard), in the format the recipient expects
  • 03Clear wording on the basis of preparation, so there’s no confusion about what the report covers

How it works

  1. 1

    Share the requirement

Send us the letter, contract clause or template the requesting party gave you.

  2. 2

    Scope and framework

We confirm what’s being audited and on what basis, and agree the report format.

  3. 3

    Fieldwork

We test only what’s in scope.

  4. 4

    Report

Signed and issued in the recipient’s required format.

Typical turnaround: 4-5 working days, depending on scope. Tender deadlines can often be accommodated if you contact us early.
  • The request letter, contract clause or template from the requesting party
  • The schedule, statement or figures to be audited
  • Supporting records (invoices, bank statements, contracts, sales reports)

Fees

Usually much lower than a full audit, because the scope is narrow.

FAQs

Often, yes. Many UAE authorities say “certificate” when they mean a special-purpose audit report. Send us their wording and we’ll confirm what they need.

Usually, as long as the wording is consistent with auditing standards. If it isn’t, we’ll suggest an acceptable alternative.

Forward us the request you’ve received. We’ll tell you what’s needed, how long it will take and the fee.

Or email info@anpcauditors.com.

01 / Audit & Assurance

Factual answers to the specific questions your lender or investor is asking

Precisely defined procedures for shareholders, lenders, investors and business partners.

Who it’s for

Anyone who needs independent, factual checks on specific items without paying for a full audit: lenders monitoring covenants, investors checking a target, shareholders reviewing a partner-run business, or partners in a joint venture.

You probably need this if

  • Your bank wants independent confirmation that covenant ratios are being met
  • An investor wants receivables, inventory or revenue checked before completing a deal
  • A silent shareholder wants independent checks on how the business is being run
  • A joint venture partner wants profit-share calculations verified
  • A funder wants to confirm money was spent for its stated purpose

What you get

  • 01A report of factual findings under ISRS 4400 (Revised), listing each procedure we performed and exactly what we found
  • 02No opinion and no conclusion, so the users can draw their own
  • 03A report that can be restricted to the parties who agreed the procedures

How it works

  1. 1

    Agree the procedures

You (and, where relevant, the lender or investor) agree exactly what we’ll check, for example “agree the top 20 receivables to invoices and subsequent receipts”.

  2. 2

    Engagement letter

The procedures are written into the engagement letter so everyone knows the scope.

  3. 3

    Perform the procedures

We do exactly what was agreed. Nothing more, nothing less.

  4. 4

    Report of factual findings

Each procedure is listed alongside its result, including any exceptions.

Typical turnaround: It depends upon the availability of the information and complexity of the assignments.
  • The list of procedures, or the request from the lender or investor (we can help draft it)
  • The records the procedures relate to

Fees

Quoted per engagement based on the number and nature of the procedures.

FAQs

An audit gives an opinion on whether the financial statements are fairly presented. An AUP reports facts on specific checks and gives no opinion. It’s narrower, faster and usually cheaper.

Yes. Many clients ask for help turning a lender’s general request into clear procedures.

The parties named in the engagement letter. That’s usually you and the party that asked for the work.

Tell us what your lender or investor wants checked. We’ll turn it into a clear scope and a fixed fee.

Close your company properly, with final accounts the authorities will accept

Audit and reporting support throughout the formal company closure process.

Who it’s for

Shareholders and directors closing a mainland or free zone company, whether the business has stopped trading, been restructured or been sold.

You probably need this if

  • You’ve decided to close the company and the licensing authority wants final audited accounts
  • You need to deregister from VAT and Corporate Tax and the FTA needs final financial statements
  • A liquidator has been appointed and needs audited figures to finish the process
  • The company has been dormant, and you want to close it rather than keep paying renewal fees
  • Shareholders want certainty that no liabilities are left behind

What you get

  • 01An audit of the final financial statements up to the date of closure or cessation
  • 02Support for the liquidator’s reporting and the final distribution to shareholders
  • 03Closing figures ready for the FTA’s VAT and Corporate Tax deregistration filings
  • 04A list of open items (unpaid balances, recoverables, pending filings) to clear before cancellation

How it works

  1. 1

    Closure review

We review the company’s position and list everything that must be settled first.

  2. 2

    Final accounts

Your books are closed to the cessation date. We can help bring them up to date if needed.

  3. 3

    Audit

We audit the final financial statements.

  4. 4

    Authority filings

The audited accounts go to the licensing authority, the liquidator and the FTA as required.

  5. 5

    Cancellation

You receive the documents needed to complete licence cancellation.

Typical timeline: 2-3 weeks for the audit, depending on the state of the records. The overall closure takes longer because it depends on authority processing times.
  • Shareholder resolution to dissolve or liquidate
  • Books of account up to the closure date
  • Bank statements, including the bank account closure letter when available
  • Evidence that receivables have been collected and liabilities settled
  • VAT and Corporate Tax registration details and filings

Fees

Fixed fee depending on the company’s size and activity in its final period.

Most licensing authorities and the FTA require final financial statements before cancelling a licence or approving deregistration. Without them the closure can stall, and penalties may keep building up.

Yes, ANPC Auditors L.L.C. acts as liquidator for UAE companies – we are a Ministry of Economy-registered audit firm, which is the licence required to be appointed liquidator for both mainland and free zone entities. We handle the full process end to end: liquidator appointment, liquidation audit and report, creditor notices, FTA VAT/Corporate Tax deregistration, and visa and licence cancellation.

The audit is the part we control. Authority processing times vary by jurisdiction, so we’ll give you a realistic timeline at the start.

Planning to close a company? Book a closure review and we’ll map out every step and its cost.

Books that are up to date every month, not rebuilt every year-end

Daily and monthly accounting, reconciliations, AP/AR and ledger management on cloud accounting software.

Who it’s for

Owner-managed SMEs and free zone companies without a full-time accountant, and businesses whose current bookkeeping is late, inconsistent or done in spreadsheets.

You probably need this if

  • Your books are only updated when the auditor or VAT deadline forces it
  • You don’t know your real cash position without logging into three bank accounts
  • Customer balances and supplier dues live in someone’s head or an Excel sheet
  • VAT returns take days because invoices have to be found and sorted first
  • You need proper records to support Corporate Tax filing

What you get

  • 01Transactions recorded daily, weekly or monthly in your cloud accounting system
  • 02Monthly bank, card and payment gateway reconciliations
  • 03Accounts receivable: customer invoicing support, ageing and collection follow-up reports
  • 04Accounts payable: supplier bills recorded, payment schedules and statement reconciliations
  • 05A clean, reconciled general ledger at every month-end
  • 06VAT-ready records, with input and output tax properly coded

How it works

  1. 1

    Onboarding

We review your current records, set up or clean up your chart of accounts, and connect bank feeds.

  2. 2

    Catch-up (if needed)

Any backlog is brought up to date first.

  3. 3

    Routine bookkeeping

You send or upload documents; we record and reconcile them.

  4. 4

    Month-end close

Ledgers are reconciled and reviewed within the following month, in line with the timeline agreed with management.

  5. 5

    Monthly check-in

A short call to flag anything unusual: overdue customers, missing documents, unexpected costs.

We work on Zoho Books, Xero, QuickBooks Online and Tally, or we can recommend one that suits your business.
  • Access to your accounting system (or we set one up)
  • Bank statements or read-only bank feed access
  • Sales invoices, supplier bills and expense receipts, uploaded as they arrive
  • Trade licence, VAT and Corporate Tax registration details

Fees

A fixed monthly fee based on transaction volume and the number of bank accounts and entities. Catch-up work for past periods is quoted separately.

FAQs

Not usually. If your current system works, we’ll use it. We only suggest a change if it’s holding you back.

Independence rules restrict this. If we audit your accounts, we’ll explain what accounting support we can provide, or you can use our bookkeeping and appoint a separate auditor.

UAE Corporate Tax law requires records to be kept for at least seven years. A cloud system with documents attached to each transaction makes that much easier.

Send us a recent bank statement and we’ll quote a fixed monthly fee within 24 hours.

Monthly numbers you can actually make decisions with

P&L, balance sheet, cash flow, KPI reporting and management dashboards.

Who it’s for

Owners and managers who receive accounts but still can’t answer simple questions: which branch is profitable, why cash is tight when sales are up, or which customers cost more than they bring in.

You probably need this if

  • You only see your profit once a year, when the audited accounts arrive
  • Sales are growing but the bank balance isn’t
  • You run several branches, projects or product lines and can’t compare them
  • Your bank, investors or partners want monthly or quarterly reports
  • Meetings are spent arguing about whose numbers are right

What you get

  • 01Monthly profit and loss, balance sheet and cash flow statement
  • 02Comparisons against budget and the prior period, with the main variances explained in plain language
  • 03KPIs that fit your business, for example gross margin by product, receivable days, occupancy or cost per patient
  • 04A management dashboard in Power BI, Zoho Analytics or Excel, as per management’s requirement
  • 05A short commentary page: what changed this month and what needs attention

How it works

  1. 1

    Agree what matters

We meet to decide which reports and KPIs are useful to you.

  2. 2

    Design the pack

We build a reporting template and a dashboard around those measures.

  3. 3

    Monthly delivery

Reports are delivered as per the requirements of management after month-end, once the books are closed.

  4. 4

    Review meeting

Optional monthly or quarterly session to walk through the numbers.

  • Reconciled monthly books (from us or your own team)
  • Your budget, if you have one; otherwise we can help prepare it
  • Operational data for KPIs, such as headcount, units sold or occupancy

Fees

Monthly fee depending on the number of entities, segments and dashboard requirements. Often bundled with Cloud Bookkeeping.

FAQs

Many accountants focus on recording transactions. Management reporting turns those transactions into information for decisions. We can work from your accountant’s books.

Typically 7-15 working days, provided the books are closed on time.

Tell us the three questions you can’t answer from your current numbers. We’ll show you the report that answers them.

Or email info@anpcauditors.com.

Walk into your audit with everything already in order

Closing procedures, IFRS adjustments, supporting schedules and audit preparation.

Who it’s for

Companies that dread the annual audit because it turns into weeks of searching for documents, answering queries and correcting balances.

You probably need this if

  • Last year’s audit took far longer, and cost more, than it should have
  • The auditor raised many adjustments or a qualified opinion
  • Your accounts have never been prepared under IFRS
  • Your licence renewal or Corporate Tax filing depends on audited accounts being ready on time
  • Your in-house accountant has the transactions but not the year-end technical knowledge

What you get

  • 01Year-end close: accruals, prepayments, provisions, cut-off and reconciliations
  • 02IFRS adjustments, such as revenue recognition, leases (IFRS 16), expected credit losses and employee end-of-service benefits
  • 03A full set of supporting schedules tied to the trial balance
  • 04A draft set of financial statements ready for audit
  • 05A prepared-by-client (PBC) folder organised the way auditors expect
  • 06Support answering auditor queries during fieldwork

How it works

  1. 1

    Pre-close review

About 2-4 weeks before year-end, we identify gaps and issues to fix early.

  2. 2

    Year-end close

We post closing entries and IFRS adjustments.

  3. 3

    Schedules and draft accounts

Every balance gets a supporting schedule.

  4. 4

    Audit support

We coordinate with your auditor until the report is signed.

  • Trial balance and general ledger
  • Bank statements and confirmations for the full year
  • Contracts: leases, loans, major customer and supplier agreements
  • Fixed asset, inventory and payroll records
  • Prior-year audited financial statements and the auditor’s management letter

Fees

Fixed fee based on company size and the state of the records. A fee discount applies if we also maintain your books during the year.

FAQs

Yes. This is a common arrangement, and it keeps the preparer and the auditor separate.

That’s often why clients come to us. We’ll start with a catch-up and tell you honestly how long it will take.

Book a pre-close review now. Fixing issues before year-end is far cheaper than fixing them during the audit.

Or email info@anpcauditors.com.

Accurate payroll, on time, through WPS every month

Payroll administration, WPS processing and end-of-service benefit calculations.

Who it’s for

UAE employers who want salaries paid correctly and on time, without tying up a manager every month, and who need gratuity calculated properly.

You probably need this if

  • Payroll is calculated in a spreadsheet that only one person understands
  • Overtime, leave deductions and allowances regularly cause disputes
  • You’ve had late WPS payments or warnings from MOHRE
  • You don’t have a reliable figure for your end-of-service gratuity liability
  • Final settlements for leaving employees take too long or get challenged

What you get

  • 01Monthly payroll calculation: basic salary, allowances, overtime, deductions and unpaid leave
  • 02WPS salary information file (SIF) prepared for your bank or exchange house
  • 03Payslips for every employee
  • 04Final settlement calculations, including end-of-service gratuity and leave encashment
  • 05Monthly payroll journal for your accounts
  • 06End-of-service benefit provision calculated for year-end reporting

How it works

  1. 1

    Set-up

We record employee master data: contracts, salary structure, joining dates and bank details.

  2. 2

    Monthly inputs

You send attendance, leave, overtime and changes.

  3. 3

    Processing

We calculate payroll and send it to you for approval.

  4. 4

    WPS file

Once approved, we prepare the SIF for upload by your bank or exchange house.

  5. 5

    Reports

You receive payslips, a payroll summary and the accounting journal.

  • Employment contracts and current salary details
  • Monthly attendance, leave and overtime records
  • MOHRE establishment details and WPS agent information
  • Approval of each month’s payroll before it’s paid

Fees

Fees are based on the number of employees and the complexity of the payroll.

FAQs

For mainland employees under the UAE Labour Law, gratuity is generally 21 days’ basic salary for each of the first five years of service and 30 days for each year after that, capped at two years’ total wage. Free zones such as DIFC and ADGM have their own rules. We apply the rules that cover your employees.

No. You keep control of the money. We prepare the WPS file and you or your bank release the payment.

Yes. Access is limited to the team handling your payroll.

Tell us your headcount and we’ll send a fixed monthly payroll quote.

Or email info@anpcauditors.com.

Know what you own, where it is and what it’s worth

Asset registers, depreciation schedules and financial control.

Who it’s for

Businesses with significant equipment, vehicles, fit-out or IT assets, such as clinics, hotels, restaurants, contractors and manufacturers, where the books and the physical assets have drifted apart.

You probably need this if

  • Your fixed asset register is a spreadsheet nobody has updated in years
  • Assets that were sold, scrapped or moved are still on the books
  • Your auditor has questioned asset balances or depreciation
  • Depreciation is calculated as one total rather than asset by asset
  • You’re preparing for a sale, an investment or an insurance renewal and need a reliable asset list

What you get

  • 01A complete fixed asset register, with each asset’s cost, location, custodian and useful life
  • 02Depreciation schedules under IAS 16 (or IFRS for SMEs), reconciled to the general ledger
  • 03Physical verification and asset tagging
  • 04Clean-up of disposals, write-offs and transfers
  • 05A capitalisation policy, so everyone knows what is capitalised and what is expensed
  • 06Monthly or annual depreciation journals

How it works

  1. 1

    Review

We compare your register, invoices and general ledger.

  2. 2

    Physical verification

We check that the assets exist and are in use.

  3. 3

    Rebuild the register

We fix differences and agree corrections with management.

  4. 4

    Ongoing maintenance

We record additions, disposals and depreciation every month or year.

  • Current asset register (if any) and supplier invoices for major assets
  • Access to sites for physical verification
  • Details of assets sold, scrapped or transferred

Fees

Register clean-up is quoted per project, based on asset count and locations. Ongoing maintenance can be included in your bookkeeping package.

FAQs

They should reflect how long you actually expect to use each asset. We’ll help set realistic lives and document the basis for your auditor.

Accounting depreciation generally flows into the taxable income calculation, so an accurate register supports your tax return as well as your financial statements.

Send us your current asset list, however incomplete. We’ll tell you what it would take to make it audit-ready.

Senior financial leadership, without a full-time CFO salary

Budgeting, forecasting, treasury and board-level reporting from an experienced finance leader, for a few days a month.

Who it’s for

You probably need this if

  • Your board or shareholders want proper reporting and budget accountability
  • Your finance team needs senior direction and review

  • Clarity on business goals for the next 12–36 months
  • A seat at the table for major financial decisions

Fees

Monthly retainer based on the number of days and the scope. A fraction of the cost of a full-time CFO.

FAQs

Management reporting tells you what happened. A fractional CFO helps you decide what to do next, then makes sure the numbers, the team and the bank support it.

Yes. The CFO’s role is to direct and review, not to replace your team.

Yes. Registered businesses must file a return for every tax period, even with no taxable income. Filing also preserves your losses for use in future years.

Eligible resident businesses with revenue of AED 3 million or less in a tax period can elect to be treated as having no taxable income. It applies to tax periods ending on or before 31 December 2026, and some businesses are excluded.

VAT returns filed right, and FTA issues resolved before they grow

Registration, returns, health checks, deregistration, voluntary disclosures and FTA support.

Who it’s for

UAE businesses that are registered for VAT, or are approaching the threshold, and want returns filed accurately and on time.

You probably need this if

  • Your taxable supplies are approaching AED 375,000 over 12 months
  • VAT returns are prepared in a rush every quarter, with no review
  • You’ve found an error in a VAT return you’ve already filed
  • You’ve received an FTA audit notice, query or penalty
  • You deal with real estate, exports, designated zones or mixed supplies, where VAT treatment is less obvious
  • You’ve stopped trading and need to deregister

What you get

  • 01VAT registration, amendments and deregistration on EmaraTax
  • 02Return preparation and filing, with a reconciliation to your accounts
  • 03VAT health check: a review of past returns, invoices and treatments to find errors before the FTA does
  • 04Voluntary disclosures to correct past errors
  • 05Advice on specific transactions: zero-rating, exemptions, reverse charge and input tax recovery
  • 06Support during FTA audits, and help with reconsideration requests and penalty waivers

How it works

  1. 1

We look at your activities, invoices and past returns.

  2. 2

    Set-up

We confirm correct tax codes in your accounting system so returns can be accurately produced.

  3. 3

    Returns

Each period, we prepare the return, reconcile it to your books and send it for approval before filing.

  4. 4

    Ongoing support

We answer VAT questions as they come up and deal with the FTA on your behalf.

  • TRN certificate and EmaraTax access (or authorisation for us to act)
  • Sales and purchase invoices and import documents
  • General ledger and previously filed returns
  • Contracts for significant or unusual transactions

Fees

Fixed fee per return, depending on transaction volume. Health checks, voluntary disclosures and FTA audit support are quoted separately.

FAQs

Registration is mandatory once your taxable supplies and imports exceed AED 375,000 in the past 12 months, or are expected to in the next 30 days. You can register voluntarily from AED 187,500.

Depending on the error, it’s corrected either in a later return or through a voluntary disclosure, and deadlines apply once the error is discovered. Correcting it yourself generally costs much less than having the FTA find it. Contact us as soon as you spot it.

Yes, and you must apply within the deadline once you stop making taxable supplies. Late deregistration attracts penalties, so it’s best handled as part of the closure process.

Book a VAT health check. It’s the quickest way to find and fix errors before the FTA does.

Related-party transactions priced and documented the way the FTA expects

Documentation, related-party analysis, disclosure requirements and benchmarking support.

Who it’s for

UAE businesses that trade with related parties or pay connected persons, such as group companies, shareholders, directors or businesses under common ownership.

  • Your company buys from, sells to or lends to a group company or shareholder’s other business
  • You charge or pay management fees, royalties or cost recharges within a group
  • You pay salaries or fees to shareholders, directors or their relatives

  • Intercompany agreements, invoices and cost allocation workings
  • Financial statements for the relevant entities

Fees

Master File, Local File and benchmarking studies are quoted per project based on the number and type of transactions.

FAQs

It means pricing a transaction with a related party as if it were between unrelated businesses under the same conditions. The FTA can adjust your taxable income if it isn’t.

Generally when the UAE entity’s revenue is AED 200 million or more, or it belongs to a multinational group with consolidated revenue of AED 3.15 billion or more. These files must be provided within 30 days of an FTA request.

Often, yes. Payments to shareholders, directors and their related businesses still need to be at market value, even if no full documentation is required.

Send us your group structure. We’ll tell you which transfer pricing requirements apply and what they will cost.

FAQs

Generally any individual who owns or controls 25% or more of the company, directly or indirectly, or who otherwise exercises control. If no one meets that test, the person in charge of management is usually recorded instead.

Changes must be recorded and filed promptly, generally within 15 days. Missing the deadline can lead to fines from the licensing authority.

An audit gives an opinion on historical financial statements. Due diligence looks at what matters for the deal: sustainable earnings, hidden liabilities, cash and risks that affect price.

Yes. Sellers who commission their own report usually face fewer surprises and shorter negotiations.

04 / Financial Advisory

Is the profit real, and will it last?

Analysis of the sustainability and underlying quality of reported financial performance.

Who it’s for

Buyers, investors and lenders who are valuing a business on its earnings, and owners who want a credible EBITDA figure before going to market.

You probably need this if

  • A valuation or price is based on a multiple of EBITDA
  • Reported profit includes one-off gains, unusual costs or owner-related expenses
  • Revenue has jumped recently and you need to know whether it will repeat
  • Management accounts and audited accounts tell different stories
  • A lender wants comfort on earnings before agreeing a facility

What you get

  • 01Reconciliation of reported EBITDA to adjusted, normalised EBITDA
  • 02Identification of one-off, non-recurring and non-operating items
  • 03Adjustments for owner salaries, related-party pricing and accounting policy choices
  • 04Revenue quality analysis: customer concentration, recurring vs one-off, and pricing trends
  • 05Proof of cash: matching reported revenue and profit to bank receipts
  • 06A clear schedule of every adjustment and the reasoning behind it

Fees

Quoted per engagement, depending on the size of the business and the period covered.

FAQs

Yes. A seller-side review supports your asking price and reduces the chance that the buyer cuts it after their own diligence.

Usually it’s the central part, but it can also be commissioned on its own.

A finance function that closes faster and reports better

Modernising finance processes, systems, reporting and controls.

Who it’s for

Growing businesses whose finance team is buried in manual work, spreadsheets and late reports, and companies moving to a new accounting system or ERP.

You probably need this if

  • Month-end close takes weeks rather than days
  • Reports are built manually in Excel every month
  • Your accounting system can’t handle multiple entities, branches or currencies
  • You’re selecting or implementing a new ERP and want finance requirements done right
  • Approvals happen over email and WhatsApp with no audit trail
  • You’re preparing for UAE e-invoicing and need processes and data ready

What you get

  • 01A diagnostic of current processes, systems and team structure
  • 02A redesigned chart of accounts and reporting structure
  • 03A month-end close calendar with clear owners and deadlines
  • 04Accounting system or ERP selection support and implementation oversight
  • 05Automation of repetitive tasks such as bank feeds, invoice capture and approval workflows
  • 06Updated policies, procedures and reporting templates
  • 07A practical roadmap, prioritised by benefit and effort

How it works

    Roadmap

We agree priorities, quick wins and longer-term changes.

  3. 3

    Implementation

We redesign processes, configure systems and train the team.

  4. 4

    Stabilise

We support the first close cycles under the new process.

  • A sponsor in management who can make decisions

Fees

Diagnostics are a fixed fee, Implementation support is quoted per project or on a monthly basis.

FAQs

Not always. Many problems come from processes and chart of accounts design, not the software. We’ll tell you honestly if your current system is enough.

Controls that prevent problems, not just paperwork

Designing and strengthening financial and operational control frameworks.

Who it’s for

Businesses that have grown beyond owner oversight, companies preparing for investors or lenders, and organisations that have recently experienced errors, losses or fraud.

You probably need this if

  • Nobody has formally set who can approve what, and up to what amount
  • The same person can set up a supplier, approve an invoice and release payment
  • Your auditor’s management letter repeats the same control weaknesses every year
  • You’ve had a loss, fraud or significant error and want to stop it happening again
  • Investors, a parent company or a board are asking for a documented control framework

What you get

  • 01Process walkthroughs and risk-control matrices for key cycles: revenue, procurement, payroll, inventory, treasury and IT access
  • 02A delegation of authority matrix
  • 03Segregation of duties analysis and practical fixes for small teams
  • 04Written policies and procedures
  • 05System controls and approval workflows configured in your accounting system
  • 06A control framework aligned with the COSO Internal Control framework

How it works

  1. 1

    Risk assessment

We identify where errors, fraud or losses are most likely.

  2. 2

    Design

We design proportionate controls that fit the size of your team.

  3. 3

    Document

We write policies, procedures and the authority matrix.

  4. 4

    Embed

We train staff and configure system controls.

  5. 5

    Test (optional)

We later test whether the controls are working, through our Internal Audit service.

  • Organisation chart and current approval practices
  • Existing policies (formal or informal)
  • Access to process owners and system configuration

Fees

Quoted per process cycle or as a full framework project.

FAQs

Internal Controls designs and builds the controls. Internal Audit independently tests whether they work. Many clients do the first, then the second a few months later.

Yes, with compensating controls such as owner review of bank payments, system-enforced approvals and monthly reconciliations reviewed by someone independent.

Book a controls review of your purchase-to-payment cycle. It’s where most businesses lose money first.
